What Do I Receive For My Investment?

Each offering of a small business is different. For your investment, you may receive an asset in the form of a promissory note that pays interest on a loan, an ownership postion in the business that may distribute to you a share of profits that they earn, free or discounted products or services, special benefits or privileges or other items of value.

Do I Qualify To Be An Investor?

To make an investment through crowdfunding in a Colorado small business, you must be a resident of the State of Colorado or a business formed pursuant to Colorado law.

What Is Equity Crowdfunding?

You have an opportunity to make an "investment" in one or more Colorado small businesses through what is called "equity crowdfunding".


Colorado small business need money to start and grow. You can make an investment by making money available to the small business in exchange for one or more assets that the small business may offer.

How Much Can I Invest?

Unless you are a wealthy person person that meets the definition of an "accredited investor", the maximum amount you can invest in any 12-month time is $5,000.

What Happens After The Raise Is Complete?

Your investment in a small business will be reported to the State of Colorado and to the Internal Revenue Service which will make your information public.


Once you make an investment, no one may be willing to buy it from you. You may need to hold onto your investment indefinitely.
