CrowdSprout's Role as a Fundraising Tool


CrowdSprout™ essentially only lists the “Investment Offering Documents” from smaller local companies seeking investment and provides a platform for potential Colorado resident investors to explore these opportunities.

Each Investment Offering Document includes your company’s Business Plan within it; as well as, additional disclosures of risk and mechanics of the deal.

We focus primarily on the Local Foods, Cottage Foods and Health & Wellness industries; as well as, Small Family Farms and Food Trucks.

Most of the companies found on our site will have had several years of experience selling direct to their customers, in seasonal farmers markets or, in some cases, local grocery stores. We are also interested in small family farms and Cottage Foods companies that make items at home and sell directly to informed buyers as provided under the Colorado Cottage Foods Act.

We leave that to our Crowd Investors. They Evaluate. They Decide. They Invest.

However, the “Form and Completeness” of each Investment Offering Document listed on our site has been verified by the State of Colorado Division of Securities for completeness before it’s listed on our site as per Colorado law. The Colorado Division of Securities does not offer any investment advice regarding any specific company listed on our site as to any of the items or claims or projections or investment worthiness of any of your business plans.

You must prepare your own business plan and the larger Investment Offering Document. That business plan must include a number of critical items, such as: business history, product(s) or service(s), current customers, management, etc. We will provide you a very specific Business Plan Format that covers every one of these fundamental items. It is critical that all of the Business Plans presented to our Crowd Investors have the same basic format – while still being adapted and unique to each individual business.

In addition to the “Business Plan Format,” before you’re ready to list on CrowdSprout’s site, this business plan must be converted into and be included within a larger more expansive formal “Investment Offering Document”, complete with certain specific disclosures as required by the State of Colorado Division of Securities.

We will introduce you to a number of other “support” tools that can help you with this process—from start to finish and then even after your successful capital raise —that are very affordable.

However, the “Form and Completeness” of each Offering Document must be verified by the State of Colorado Division of Securities as per Colorado law before it can be listed on our site.

To be clear, the State of Colorado Division of Securities does NOT do not offer any investment advice regarding any specific company listed on our site as to any of the items or claims or projections or investment worthiness of any of their business plans —only the “completeness” of the offering document.

Only after the State of Colorado’s Division of Securities has approved the final form and completeness of your proposed Investment Offering Document, which includes your Business Plan, will it be eligible to be listed on our CrowdSprout™ site to be viewed by our Crowd of investors.
