For the Potential CrowdSprout™ Investor

CrowdSprout™ is only a “Connector” or technically, an “Intermediary” as defined by the Colorado Crowdfunding Act passed by the Colorado legislature.

This means that, fundamentally, all that CrowdSprout does is to provide a simple and intuitive on line platform that – on one hand, lists the business plans / Investment Offering Documents of targeted local Colorado companies seeking investment, and – on the other hand, allows our Colorado residents (the “Crowd”) to review and decide whether to invest or not to invest in each respective company. You evaluate. You decide. You invest.

Each Colorado resident can invest up to $5,000 per company per calendar year. You decide if to invest. You pick the company. You decide how much.

We focus primarily on companies within the Colorado Local Foods and Health & Wellness industries.

Most of the local companies found on our site will have had several years of experience already selling direct to their customers or in seasonal farmers markets or, in some cases, local grocery stores or on line.

We are also interested in Small Family Farms and Food Trucks; as well as, Cottage Food Companies.

Cottage Food Companies make items at home and sell them directly to “Informed Buyers” as provided under the Colorado Cottage Food Act. “Informed Buyers” are those costumers that have been informed that the food product they are buying was made in a private home vs. government inspected facility. These Cottage Food Companies can be seen as “micro-food companies” that can grow into “small food companies”.

Most of the companies listed on our site are looking for investment capital to expand their existing business. But be clear, we do not offer any investment advice regarding any specific company listed on our site nor as to any of the items or claims or projections or investment worthiness of any of their business plans. We leave that to your own investigation.

You Evaluate. You Decide. You Invest.

However, the “Form and Completeness” of each Investment Offering Document, which contains the company’s Business Plan, listed on our site has been verified for “Completeness” by the State of Colorado Division of Securities before it’s listed on our site as per Colorado law. This means that the Investment Offering Document does not just include the Listed Company’s Business Plan, but also all of the required disclosure and risk advisories required by Colorado law.

Also for clarity, the State of Colorado Division of Securities does NOT offer any investment advice regarding any specific company listed on our site for their worthiness for investment by you. To be clear the because the Investment Offering Document is considered “complete” by the State of Colorado Division of Securities that should not be considered in any way a form of investment advice regarding any specific company listed on our site nor as to any of the items or claims or projections or investment worthiness of any of their business plans.

We encourage you to investigate each company you’re interested in investing in; perform your own due diligence to the best of your abilities and seek the legal or accounting advice you feel necessary before assuming the risks inherent in investing in private companies.

Your investment in these smaller Colorado Local Foods and Health & Wellness companies, Cottage Foods companies, or Small Family Farms or Food Trucks should be considered “Long-Term Investments” rather than short-term plays.

With all of this said, we believe that the companies listed on the CrowdSprout site for your review can offer our Crowd Investors very reasonable and understandable opportunities that can potentially provide them with a path to building long-term wealth for themselves, their families, and their communities.
